BitGo completed the purchase of NYDIG’s institutional trading business and related assets on August 27, 2026.

The upfront payment totaled $42.5 million, consisting of $7 million in cash and approximately $35.5 million in BitGo stock, according to the company’s filing with the U.S. Securities and Exchange Commission.

The agreement also provides for up to $15 million in contingent cash payments tied to two revenue milestones.

Employee Transfer and Retention

Approximately 30 NYDIG employees transferred to BitGo.

The acquired unit adds derivatives, structured products, financing, and capital-markets services to BitGo’s custody, settlement, wallet, and trading platform.

BitGo plans to grant the transferred employees restricted stock units with a target value of $5 million and cash retention awards with a target value of $5 million; both vest upon achievement of the second revenue milestone.

Undisclosed Terms

The filing does not disclose the exact revenue thresholds or assign a fixed value to any potential additional BitGo shares that may form part of the contingent consideration.

The ultimate amount paid therefore remains dependent on the acquired operation’s performance after closing.
