SEC Files Transfer-Agent Rulemaking to Address Blockchain Recordkeeping

The Securities and Exchange Commission filed proposed rulemaking S7-2026-30 on 1 September that updates the rules and forms governing registered transfer agents. The 421-page release covers electronic recordkeeping, blockchain-based records, digital wallets, cybersecurity, business continuity, and third-party outsourcing.

The proposal stays technology-neutral and does not require any firm to adopt blockchain systems. Comments are due 60 days after the notice appears in the Federal Register.

Open questions

Final rule text and effective dates remain unknown. Treatment of wallets, smart-contract controls, and data-privacy mechanics stays open for public comment.
